Acceptance of Terms

By engaging ORKD CORP for any service — whether through email, phone, our website, or any written or verbal agreement — you ("the Client") agree to be fully bound by these Terms of Service. These terms apply to all services offered by ORKD CORP, a creative design and digital services company operating under the laws of the State of Colorado and the United States of America, and serving clients globally.

These terms constitute the entire agreement between ORKD CORP and the Client and supersede any prior discussions, representations, or agreements unless otherwise stated in a signed written contract.

Investment & Payment Policy

We believe that when both parties have skin in the game, the best work happens. Our payment structure is designed to protect your project timeline and ensure our full creative team is dedicated to your vision from day one.

• 50% deposit required to begin any project. Work does not commence until the deposit is received and confirmed.
• Remaining 50% is due upon project completion before final files, source code, or deliverables are released.
• Accepted payment methods include major credit/debit cards, bank transfer (ACH), PayPal, Zelle, and approved international wire transfers.
• International payments may be subject to applicable currency conversion fees and banking charges, which are the responsibility of the Client.
• For larger enterprise projects, a custom payment schedule may be negotiated in writing prior to project commencement.
• Invoices unpaid beyond 14 days of the due date are subject to a late fee of 1.5% per month on the outstanding balance.
• ORKD CORP reserves the right to pause or suspend project work on any account with an outstanding overdue balance.

Our Commitment & Refund Policy

We want to be refreshingly honest with you: all payments made to ORKD CORP are non-refundable. But here is what that really means — and why it is ultimately a protection for you, not just for us.

The moment your deposit is received, our team immediately invests significant time, creativity, research, strategy, and resources into your project. Creative work, by nature, involves human expertise, intellectual capital, and hours that cannot be returned. What we can — and always will — promise is this: we will never leave you without a resolution.

We take pride in the fact that most agencies will simply keep your money and disappear. We do the opposite. We stay at the table, we communicate with care, and we find a resolution that honors your investment. That is the ORKD standard.

The 5-Rendition Creative Process

Great design is a conversation. We have built our creative process around giving you multiple opportunities to guide, shape, and perfect your project — while ensuring the process stays efficient, focused, and rewarding for everyone involved.

Every project includes up to 5 professional renditions (revisions). Each rendition is a complete, thoughtful response to your feedback — not a small tweak, but a full creative iteration informed by your direction.

• Revisions beyond the included 5 renditions are available at a flat rate of $150 per additional revision round, billed and paid before work continues.
• A revision is defined as one round of changes submitted in a single consolidated feedback document — not multiple individual requests submitted separately.
• Requests that constitute a complete change in creative direction, brand strategy, or project scope after work has begun may be treated as a new project and quoted accordingly.
• ORKD CORP reserves the right to professionally advise the Client when a requested direction is not in the best interest of their brand — we will always tell you the truth.

Professional Resolution Policy

We understand that creative projects can sometimes take unexpected turns. Visions evolve. Businesses pivot. Communication can occasionally miss the mark. At ORKD CORP, we do not run from these moments — we run toward them.

If any issue arises during your project, here is our commitment to you:

• You will always have direct access to a senior team member — not a junior, not a bot, not a ticketing system.
• All concerns will be acknowledged within 24 business hours and addressed with a clear, actionable plan.
• We will always seek a mutually agreeable solution that honors your investment and our expertise.
• In cases where a project reaches an impasse after all 5 renditions, ORKD CORP will offer a credit toward a future service of equal or lesser value at our sole discretion.
• We do not engage in public disputes, social media confrontations, or unprofessional conduct — and we ask the same of our clients.

Scope of Work & Project Changes

Each project is scoped based on the information provided during the initial consultation. The agreed-upon scope defines the deliverables, timeline, and investment for your project.

• Any additions to the original project scope will be quoted separately and require written approval and additional payment before implementation.
• ORKD CORP will notify the Client in writing if a requested change falls outside the agreed scope — we will never add charges without your knowledge and consent.
• Significant delays caused by the Client — including slow feedback, unavailability, or failure to provide required materials — may result in project timeline adjustments or a restart fee.
• Projects inactive for 60 days or more due to client non-response may be archived. Reactivation is subject to a restart fee and current pricing.

Intellectual Property & Ownership

We believe in clean, complete ownership transfer. When you pay in full, everything we built for you belongs entirely to you.

• Upon receipt of final payment, the Client receives full intellectual property ownership of all final deliverables including logos, designs, code, and written content created for their project.
• ORKD CORP retains the right to display completed work in its portfolio, case studies, and marketing materials unless the Client requests otherwise in writing prior to project completion.
• Any third-party assets used in projects (stock photography, licensed fonts, etc.) are subject to their respective licensing terms. ORKD CORP will disclose all third-party assets used.
• ORKD CORP retains ownership of all concepts, drafts, and renditions not selected as the final deliverable.
• Grant proposals and written documents become the property of the Client upon full payment. ORKD CORP may retain anonymized summaries for internal quality tracking.

Confidentiality & Privacy

Your business information is sacred to us. ORKD CORP treats all Client information with the highest degree of confidentiality.

• ORKD CORP will not disclose, sell, or share any confidential Client information with third parties without express written consent.
• Both parties agree to keep the terms and pricing of their specific agreement confidential unless mutually agreed otherwise.
• ORKD CORP complies with applicable U.S. privacy laws including relevant provisions of the Colorado Privacy Act (CPA) effective July 1, 2023.
• International clients benefit from ORKD CORP's commitment to data protection standards consistent with global best practices.

Limitation of Liability

ORKD CORP provides all services with professional care and expertise. However, to the fullest extent permitted by applicable law:

• ORKD CORP's total liability to any Client shall not exceed the total amount paid by the Client for the specific project giving rise to the claim.
• ORKD CORP is not liable for indirect, incidental, consequential, or punitive damages arising from the use or inability to use our deliverables.
• ORKD CORP does not guarantee specific business outcomes, revenue increases, grant approvals, or search engine rankings as a result of our services.
• The Client is responsible for reviewing all deliverables for accuracy, legal compliance, and suitability for their specific use case before publication or distribution.

International Client Policy

ORKD CORP proudly serves clients across North America, Europe, the Caribbean, Latin America, Africa, and beyond. We celebrate global partnerships and bring the same standard of excellence to every corner of the world.

• All contracts are governed by the laws of the State of Colorado, United States of America.
• All invoices are issued in US Dollars (USD). Currency conversion is the responsibility of the Client.
• International wire transfer fees and banking charges are the sole responsibility of the Client.
• Time zone differences will be accommodated with reasonable scheduling flexibility. Primary communication hours are Monday through Friday, 9am to 6pm Mountain Time (MT).
• ORKD CORP complies with applicable U.S. export regulations and international trade laws in all client engagements.
• Dispute resolution for international clients shall be conducted in English, in the State of Colorado, under American Arbitration Association rules if applicable.

Governing Law & Dispute Resolution

These Terms of Service are governed by and construed in accordance with the laws of the State of Colorado and applicable United States Federal Law, without regard to conflict of law principles.

• Any dispute arising out of or relating to these Terms shall first be addressed through good-faith negotiation between the parties.
• If negotiation fails, disputes shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association (AAA), with proceedings conducted in Colorado.
• The prevailing party in any arbitration or legal proceeding shall be entitled to recover reasonable attorneys fees and costs.
• Nothing in this section prevents ORKD CORP from seeking injunctive or other equitable relief in any court of competent jurisdiction.
